These Merchant Terms / Seller Terms (“Merchant Terms”) govern the access to and use of the Storexio platform by merchants, sellers, traders, businesses, establishments, and other commercial users (each, a “Merchant”, “Seller”, or “you”).

Storexio is an application operated by Mehdi Ghazlavi Electronic L.L.C., registered in the United Arab Emirates under registration / licence number 1592588 (“Company”, “Storexio”, “we”, “us”, or “our”).

These Merchant Terms form part of, and must be read together with, the Storexio Terms & Conditions, Privacy Policy, Refund / Cancellation Policy, Acceptable Use Policy, any applicable subscription order, and any separate written agreement between Storexio and the Merchant. In the event of conflict, a separately signed written agreement may prevail to the extent of the conflict.

By registering as a Merchant, opening a seller account, uploading products, enabling a storefront, accepting orders, or otherwise using Storexio for commercial purposes, you agree to be bound by these Merchant Terms.

1. Purpose and Nature of the Platform

Storexio provides software, hosting, commerce tools, storefront technology, and related digital services that enable Merchants to create, manage, and operate online stores, catalogues, order workflows, and customer communications.

Unless expressly agreed otherwise in writing, Storexio acts only as a technology and platform provider and is not:

  • the Merchant’s legal representative;
  • the seller of the Merchant’s products or services;
  • the importer, exporter, distributor, or manufacturer of listed items;
  • the employer of the Merchant’s staff;
  • the contracting party between the Merchant and its customers;
  • a payment institution, escrow provider, or bank;
  • responsible for the Merchant’s compliance with licensing, tax, consumer, product, advertising, customs, or sector-specific laws.

UAE official guidance frames e-commerce as regulated commercial activity carried out through websites, platforms, and similar digital means, which is why merchant-side obligations remain important even when Storexio provides the technical infrastructure. ([U.AE][1])

2. Merchant Eligibility

You may use Storexio as a Merchant only if:

  • you have legal capacity to enter into binding contracts;
  • your business is duly established, licensed, or otherwise authorized for its activities where required by law;
  • the information you provide to Storexio is true, accurate, complete, and not misleading;
  • you are authorized to bind the business you represent;
  • your products, services, and business activities are lawful in each relevant jurisdiction.

Storexio may require evidence of trade licence, commercial registration, identity, corporate authorization, tax details, address information, beneficial ownership, or other verification materials before or during your use of the Services.

3. Merchant Account Registration

To use merchant features, you may be required to create a merchant account and provide onboarding information.

You agree to:

  • provide complete and accurate registration details;
  • maintain current business, contact, and billing information;
  • keep your login credentials confidential;
  • restrict access to authorized users only;
  • configure staff permissions responsibly;
  • notify Storexio promptly of any unauthorized use, compromise, or suspected account misuse.

The Merchant is responsible for all acts, omissions, uploads, listings, settings, communications, and transactions originating from its account, sub-accounts, users, staff, or agents, except to the extent caused directly by Storexio’s proven breach.

4. Merchant Relationship With Customers

The Merchant is solely responsible for its relationship with its customers.

Unless expressly stated otherwise in writing:

  • all product and service listings are made by the Merchant;
  • all sales contracts are between the Merchant and the customer;
  • the Merchant is the seller of record for its products and services;
  • the Merchant is solely responsible for pricing, fulfillment, delivery, returns, refunds, warranties, after-sales support, and complaint handling;
  • Storexio is not a party to the transaction between Merchant and customer.

UAE official consumer-protection guidance emphasizes the existence of protected consumer rights in commercial dealings, which is one reason these responsibilities should sit clearly with the merchant that actually sells the goods or services. ([U.AE][2])

5. Merchant Obligations

The Merchant shall, at all times:

  • conduct business honestly, fairly, and lawfully;
  • comply with all applicable laws, regulations, licences, and government requirements;
  • ensure that all products and services listed are lawful, safe, genuine, and accurately described;
  • maintain sufficient stock accuracy and fulfillment capability;
  • publish clear commercial policies where required, including delivery, return, refund, privacy, and store terms;
  • respond to customer inquiries and complaints in a commercially reasonable manner;
  • maintain adequate records of transactions and customer communications;
  • cooperate with Storexio in relation to compliance, fraud prevention, dispute handling, and risk review.

6. Product and Service Listings

The Merchant is solely responsible for all content submitted to the platform relating to its business, including:

  • product names;
  • descriptions;
  • images;
  • prices;
  • discounts;
  • availability;
  • categories;
  • size, weight, and specification information;
  • warranty statements;
  • delivery or service conditions.

The Merchant represents and warrants that all listings:

  • are accurate and not misleading;
  • do not infringe third-party rights;
  • do not violate applicable law;
  • do not involve counterfeit, unsafe, or prohibited goods;
  • do not include false, deceptive, or unfair commercial claims.

Storexio may remove, reject, suspend, or edit listings that appear unlawful, misleading, unsafe, counterfeit, infringing, or otherwise inconsistent with Storexio policies or legal obligations.

7. Prohibited and Restricted Goods

The Merchant must not list, market, sell, distribute, or promote any product or service that is illegal, restricted without proper authorization, counterfeit, dangerous, or otherwise prohibited by law or by Storexio policy.

This includes, without limitation, goods or services that:

  • require government approval, permit, or licence that the Merchant does not hold;
  • are counterfeit or infringing;
  • are unsafe or non-compliant with applicable standards;
  • are unlawful medical, pharmaceutical, controlled, or regulated items sold without authorization;
  • involve unlawful surveillance, malicious software, forged documents, or illegal financial conduct;
  • create unacceptable legal, consumer, fraud, or reputational risk.

Storexio may request documentary proof of authorization, origin, conformity, or compliance at any time.

8. Pricing, Offers, and Promotions

The Merchant is solely responsible for all pricing and promotional content displayed through Storexio.

The Merchant must ensure that pricing, discounts, and offers are:

  • accurate;
  • transparent;
  • not deceptive;
  • not misleading as to savings or availability;
  • compliant with applicable consumer and advertising requirements.

The Merchant must not engage in fake discounts, bait-and-switch offers, false urgency claims, manipulated reviews, or misleading stock or delivery statements.

UAE official guidance places consumer protection within the core legal framework for commerce, which supports keeping these obligations explicit in merchant terms. ([U.AE][2])

9. Orders, Fulfillment, Delivery, and Returns

The Merchant is solely responsible for:

  • accepting or rejecting orders in accordance with its published business rules;
  • timely fulfillment and dispatch;
  • delivery coordination and customer communication;
  • failed delivery handling;
  • exchange, return, cancellation, and refund processing toward customers;
  • service completion where the Merchant provides services instead of physical goods;
  • honoring lawful customer rights and clearly stated merchant commitments.

Storexio may provide technical workflows to assist with order processing or refund recording, but such tools do not shift legal responsibility for customer performance from the Merchant to Storexio.

10. Taxes, VAT, and Invoicing

The Merchant is solely responsible for determining, collecting, reporting, and remitting all applicable taxes, VAT, duties, levies, customs charges, and governmental fees arising from its business and sales, except for taxes imposed on Storexio’s own income.

The Federal Tax Authority states that UAE-resident businesses must register for VAT when taxable supplies and imports exceed AED 375,000 in the previous 12 months or are expected to exceed that threshold within the next 30 days, and may voluntarily register from AED 187,500. ([FTA UAE][3])

Any invoicing, tax-setting, or pricing tools made available by Storexio are provided for operational convenience only and do not constitute legal, tax, or accounting advice. The Merchant remains solely responsible for the accuracy of invoices, tax treatment, tax registration, returns, and recordkeeping.

11. Corporate Tax and Other Fiscal Compliance

Where applicable, the Merchant is responsible for assessing and complying with corporate-tax and related tax obligations arising from its business activity in the UAE.

The Federal Tax Authority has separately issued official guidance on corporate-tax registration timelines and explained that certain natural persons conducting business in the UAE may become taxable persons if turnover exceeds relevant thresholds. ([FTA UAE][4])

Storexio does not provide tax advice and is not responsible for the Merchant’s tax classification, filing position, or fiscal compliance.

12. Merchant Content

All merchant-uploaded content, including store names, logos, product images, descriptions, catalogues, legal pages, banners, promotional materials, and customer communications (“Merchant Content”), remains the Merchant’s responsibility.

The Merchant represents and warrants that it owns, controls, or has all rights necessary to use and publish Merchant Content and that such content does not violate any law or third-party right.

The Merchant grants Storexio a non-exclusive, worldwide, royalty-free licence during the term of these Merchant Terms to host, copy, process, display, adapt, and transmit Merchant Content solely as necessary to provide, maintain, secure, improve, and market the Services, subject to any separate written restrictions.

13. Intellectual Property and Infringement

The Merchant must not use Storexio to infringe copyright, trademark, patent, trade-secret, design, publicity, or other intellectual-property rights.

The Merchant must not:

  • upload unauthorized product images or logos;
  • use another party’s trade name deceptively;
  • list counterfeit or replica goods;
  • copy other merchants’ proprietary content unlawfully;
  • misuse Storexio’s software, branding, layouts, or documentation.

Storexio may remove infringing content, suspend listings, or terminate repeat infringers.

14. Privacy and Customer Data

Where the Merchant uses Storexio to collect or manage customer data, the Merchant remains primarily responsible for the lawfulness of such collection and use.

The Merchant shall:

  • provide appropriate customer-facing privacy notices;
  • obtain any required permissions or consents;
  • process personal data lawfully and only for legitimate purposes;
  • avoid unlawful marketing or misuse of customer information;
  • respond to customer privacy requests where legally required;
  • ensure that any instructions given to Storexio are lawful.

UAE official guidance identifies the federal personal-data framework as the main UAE regime and notes separate regimes in DIFC and ADGM. It also states that consumer-protection law protects consumer data and prohibits suppliers from using consumer data for marketing in that context. ([U.AE][5])

15. Electronic Transactions and Records

The Merchant agrees that Storexio may generate and retain electronic records concerning onboarding, billing, settings, order records, store actions, platform logs, communications, and acceptance of platform terms.

UAE official guidance on electronic transactions states that the legal framework strengthens the legal value of electronic documents and related trust services, supporting the operational use of platform records in commercial dealings. ([U.AE][1])

The Merchant agrees that such records may be used by Storexio for billing, audit, dispute handling, enforcement, fraud review, and compliance purposes.

16. Payment Processing and Third-Party Providers

If the Merchant uses payment gateways, delivery providers, messaging providers, ERP tools, social platforms, or other third-party integrations through Storexio, the Merchant remains responsible for complying with the applicable third-party terms, laws, and operational requirements.

Storexio does not guarantee the availability, legality, performance, or suitability of third-party services and may suspend or remove integrations where required for security, legal, operational, or commercial reasons.

Unless Storexio expressly contracts as merchant of record or payment service provider, Storexio is not responsible for settlement delays, chargebacks, banking issues, gateway rejections, or third-party operational failures.

17. KYC, Verification, and Compliance Checks

Storexio may conduct onboarding, periodic, or event-driven verification of Merchants, stores, beneficial owners, representatives, product categories, or payment risks.

The Merchant shall provide, on request:

  • trade licence or equivalent registration proof;
  • identity documents of authorized representatives;
  • address verification;
  • tax registration details;
  • product authorization records;
  • brand authorization letters;
  • banking information;
  • customer-policy documents;
  • other records reasonably requested for legal, fraud, or platform-risk review.

Failure to provide requested information may result in delayed onboarding, feature restrictions, suspension, or termination.

18. Monitoring and Audit Rights

Storexio may monitor merchant activity, listings, usage patterns, order behavior, communications metadata, and support interactions to the extent reasonably necessary for:

  • service operation;
  • fraud detection;
  • policy enforcement;
  • dispute handling;
  • security review;
  • legal compliance;
  • platform integrity.

Where Storexio reasonably suspects a violation of law, policy, or these Merchant Terms, it may investigate, request information, preserve records, and take enforcement action.

19. Suspension, Restriction, and Removal

Storexio may suspend, restrict, disable, or terminate a Merchant account, store, listing, feature, or integration immediately, with or without prior notice, where Storexio reasonably believes that:

  • the Merchant has breached these Merchant Terms or another Storexio policy;
  • the Merchant has engaged in unlawful, fraudulent, deceptive, or unsafe conduct;
  • the Merchant’s goods or services create legal, consumer, or reputational risk;
  • payment issues, chargebacks, or fraud indicators are present;
  • required verification information has not been provided;
  • Storexio is required to act by law, regulator, court, rights holder, or competent authority.

Storexio may also freeze, limit, or delay certain account functions while a review is ongoing.

20. Fees, Subscription Plans, and Platform Charges

The Merchant agrees to pay all Storexio subscription fees, setup charges, add-on charges, and other applicable amounts associated with its selected plan and use of the Services.

Where applicable:

  • fees are billed in advance unless otherwise agreed;
  • automatic renewals may apply until properly cancelled;
  • unpaid amounts may lead to suspension or termination;
  • refunds are governed by the Storexio Refund / Cancellation Policy and any specific written agreement.

21. Merchant Warranties

The Merchant represents, warrants, and undertakes that:

  • it is duly authorized to enter into these Merchant Terms;
  • it has all licences and approvals needed for its activities;
  • all information supplied to Storexio is accurate and complete;
  • its products and services are lawful, genuine, and safe;
  • it will comply with consumer, data, tax, advertising, and product-related laws;
  • it will not misuse Storexio or customer data;
  • it will not expose Storexio to avoidable legal or regulatory risk through its conduct.

22. Indemnity

The Merchant shall defend, indemnify, and hold harmless Storexio, Mehdi Ghazlavi Electronic L.L.C., and their affiliates, officers, employees, agents, licensors, and contractors from and against claims, proceedings, liabilities, losses, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • the Merchant’s products or services;
  • Merchant Content;
  • customer complaints or disputes;
  • returns, refunds, delivery failures, or warranty issues;
  • breach of these Merchant Terms;
  • violation of law or third-party rights;
  • tax, VAT, customs, or licensing issues;
  • misuse of personal data or unlawful marketing.

23. Disclaimer of Responsibility by Storexio

To the maximum extent permitted by law, Storexio does not warrant or guarantee:

  • that any Merchant will achieve sales, traffic, conversion, or revenue targets;
  • that customers will complete purchases or pay;
  • that third-party integrations will remain continuously available;
  • that Storexio is suitable for all sectors or regulated products;
  • that platform tools alone are sufficient to ensure the Merchant’s compliance with law.

Storexio provides a technical platform. Compliance, commercial performance, and customer obligations remain the Merchant’s responsibility unless expressly assumed by Storexio in a signed written agreement.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Storexio shall not be liable to the Merchant for indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, data, goodwill, business opportunity, anticipated savings, or business interruption arising from or relating to the Merchant’s use of the Services.

To the maximum extent permitted by law, Storexio’s aggregate liability to the Merchant in connection with these Merchant Terms shall not exceed the fees paid by the Merchant to Storexio during the twelve months preceding the event giving rise to the claim, or AED 1,000 if no fees were paid in that period.

This clause should be reviewed by UAE counsel before publication because enforceability can vary based on the claim type and applicable mandatory law.

25. Governing Law and Jurisdiction

These Merchant Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai, without regard to conflict-of-law principles.

The courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction over disputes arising from or relating to these Merchant Terms, unless mandatory law requires otherwise or a separate signed agreement provides for arbitration or another forum.

Because UAE official guidance separately recognizes federal, DIFC, and ADGM frameworks in certain legal areas, especially privacy, this clause should be tailored if Storexio or the Merchant is materially operating through DIFC or ADGM structures. ([U.AE][5])

26. Changes to Merchant Terms

Storexio may amend these Merchant Terms from time to time. Updated versions become effective when posted or otherwise communicated, unless a later date is specified.

Continued use of the Services after the effective date of revised Merchant Terms constitutes acceptance of the revised version.
