These Terms & Conditions (“Terms”) govern access to and use of the website, application, software, platform, hosted tools, merchant dashboard, storefront tools, and related services made available under the brand Storexio (collectively, the “Services”).
Storexio is an application operated by Mehdi Ghazlavi Electronic L.L.C., registered in the United Arab Emirates under registration / licence number 1592588 (“Company”, “Storexio”, “we”, “us”, or “our”).
By accessing, browsing, registering for, subscribing to, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
If you use the Services on behalf of a company, establishment, sole proprietorship, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to “you” include that entity.
1. Nature of the Services
Storexio provides technology, software, and digital tools that enable businesses to create, manage, and operate online stores and related commercial workflows, including product management, order handling, inventory display, customer communication, and business administration.
Unless expressly stated otherwise in a separate written agreement, Storexio is a software and platform provider only and is not:
- the seller, supplier, manufacturer, or reseller of a Merchant’s products or services;
- a payment institution, bank, escrow provider, or money-services business;
- a courier, logistics company, customs broker, or delivery provider;
- a party to the contract between a Merchant and its customer;
- the legal, tax, regulatory, or compliance representative of any user or Merchant.
UAE official guidance treats e-commerce as the sale and purchase of goods, services, and related data through digital platforms and places it within the broader legal framework for online business. ([U.AE][1])
2. Eligibility
You may use the Services only if:
- you are legally capable of entering into a binding contract under applicable law;
- all information you provide is true, accurate, current, and complete;
- your use of the Services complies with these Terms and all applicable laws and regulations;
- if acting for a business, you are duly authorized to do so.
If you use Storexio as a Merchant, you are solely responsible for ensuring that your business holds all licences, approvals, registrations, and permissions required for your activities.
3. Account Registration and Security
To use certain features, you may need to create an account. You agree to:
- provide accurate and complete registration information;
- keep your credentials confidential;
- maintain and promptly update your account information;
- restrict unauthorized access to your account;
- notify us promptly of any actual or suspected unauthorized use or security breach.
You are responsible for activities taking place under your account, except to the extent directly caused by our proven breach of duty.
We may suspend, restrict, or terminate accounts that are false, misleading, insecure, inactive for extended periods, or used in breach of these Terms.
4. Merchant Responsibilities
If you use Storexio as a Merchant, you are solely responsible for:
- the legality, safety, quality, accuracy, and description of your products and services;
- pricing, promotions, discounts, availability, and stock information;
- fulfillment, delivery, returns, refunds, exchanges, and after-sales support;
- compliance with applicable consumer-protection, advertising, tax, privacy, and product rules;
- publishing your own customer-facing policies where required, including privacy, delivery, return, and refund policies;
- obtaining any necessary consents, licences, permits, registrations, or approvals;
- the acts and omissions of your staff, agents, sub-users, contractors, and representatives.
UAE official consumer-protection guidance recognizes consumer rights and protection obligations in commercial dealings, which is one reason Storexio should not assume the Merchant’s legal responsibilities by default. ([U.AE][1])
5. Customer Transactions
Where Storexio enables a Merchant to display products or services and receive orders, any sale or service contract is, unless expressly stated otherwise, between the Merchant and the customer.
Accordingly:
- Storexio is not a party to the sale contract between Merchant and customer;
- Storexio does not guarantee that a Merchant or customer will complete any transaction;
- Storexio is not responsible for delivery failures, product defects, returns, chargebacks, warranty claims, or customer disputes; and
- disputes between Merchant and customer are primarily the Merchant’s responsibility, subject to any mandatory legal rights under applicable law.
6. Acceptable Use
You must not use the Services to:
- violate any law, regulation, court order, sanction, or government requirement;
- upload or distribute unlawful, fraudulent, deceptive, defamatory, infringing, harmful, or abusive material;
- sell counterfeit, prohibited, unsafe, or unlawfully marketed products or services;
- transmit malware, spyware, malicious code, or harmful scripts;
- interfere with the integrity, security, operation, or performance of the Services;
- scrape, reverse engineer, decompile, or attempt unauthorized extraction of code, data, or platform logic, except where non-waivable law permits;
- bypass authentication, access controls, or usage limits;
- impersonate another person or entity;
- send spam or unlawful promotional communications;
- use the Services in a manner that creates legal, regulatory, security, or reputational risk for Storexio or third parties.
7. Prohibited Products and Activities
Without limiting Section 6, you must not use Storexio in connection with products, services, or activities that are illegal, restricted without licence, counterfeit, unsafe, infringing, or otherwise prohibited under applicable law.
Storexio may remove content, disable listings, or suspend accounts where we reasonably suspect unlawful conduct, consumer harm, counterfeit trading, regulatory risk, or violation of these Terms.
8. Subscription Plans, Fees, and Pricing
Storexio may offer free plans, paid subscriptions, add-ons, custom enterprise arrangements, trial periods, or usage-based services.
You agree to pay all fees, charges, and applicable taxes associated with your selected plan or use of the Services. Fees may include:
- monthly or annual subscription fees;
- premium feature fees;
- onboarding or setup fees;
- usage-based fees;
- messaging or communication fees;
- integration or third-party pass-through costs;
- taxes and governmental charges.
We may revise pricing, plan features, limits, or packaging by giving reasonable notice. Any such changes apply prospectively unless immediate change is required for legal, security, or regulatory reasons.
9. Billing, Renewals, and Non-Payment
If your subscription renews automatically, you authorize Storexio or its payment processor to charge applicable fees on a recurring basis until cancellation.
If payment is not received in full, is reversed, disputed, or fails, we may:
- retry the charge;
- suspend or restrict access;
- downgrade your plan;
- disable specific features;
- recover lawful collection costs;
- terminate the affected Services.
Unless otherwise stated in a separate written policy or agreement, fees already paid are non-refundable except where required by applicable law.
10. Taxes and VAT
You are solely responsible for determining, collecting, reporting, and remitting any taxes, VAT, duties, levies, customs charges, or other governmental fees arising from your business and your transactions, except for taxes imposed on Storexio’s own income.
The UAE Federal Tax Authority states that, for UAE-resident businesses, VAT registration is mandatory where taxable supplies and imports exceed AED 375,000 over the previous 12 months or are expected to exceed that amount within the next 30 days; voluntary registration is available from AED 187,500. Storexio may provide invoicing, pricing, or tax-related platform tools for convenience, but such features do not constitute legal, accounting, or tax advice and do not transfer your compliance obligations to us.
11. Electronic Records and Communications
You agree that Storexio may provide notices, disclosures, invoices, records, agreements, and other communications electronically, including by email, in-platform message, dashboard notification, or other digital means.
You further agree, to the extent permitted by applicable law, that electronic records, click-acceptance flows, digital confirmations, and electronic communications may satisfy legal requirements for writing, record retention, and agreement formation.
UAE official guidance identifies the national legal framework for electronic transactions and trust services as the law that strengthens the legal value of digital documents, signatures, and trust services. ([U.AE][3])
12. Merchant Content
You retain responsibility for all content, data, text, images, product descriptions, branding, catalogues, customer messages, and other materials that you upload, submit, publish, or transmit through the Services (“Merchant Content”).
You represent and warrant that:
- you own or have the necessary rights to Merchant Content;
- Merchant Content does not violate any law or third-party rights;
- Merchant Content is not false, deceptive, or misleading;
- Merchant Content does not contain malicious code or harmful material.
You grant Storexio a non-exclusive, worldwide, royalty-free licence during the term of your use of the Services to host, reproduce, process, transmit, display, adapt, and use Merchant Content only as necessary to provide, maintain, secure, and improve the Services.
13. Intellectual Property
Unless otherwise stated, all rights, title, and interest in and to Storexio, including its software, source code, object code, platform design, user interfaces, workflows, features, documentation, trademarks, trade names, logos, branding, databases, and related intellectual property rights, belong to Mehdi Ghazlavi Electronic L.L.C. or its licensors, as applicable.
These Terms do not transfer ownership of any intellectual property to you. We grant you only a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Services during the applicable term and in accordance with these Terms.
14. Feedback
If you submit ideas, proposals, recommendations, suggestions, or feedback about the Services, you agree that Storexio may use that feedback without restriction or compensation, provided this does not transfer ownership of your confidential information beyond what is reasonably embodied in the feedback itself.
15. Privacy and Data Processing
Storexio’s handling of Personal Data is governed by its Privacy Policy and, where applicable, any separate data-processing terms.
UAE official guidance identifies the federal Personal Data Protection Law as the main UAE framework and notes that DIFC and ADGM maintain separate privacy regimes. DIFC states that its Commissioner of Data Protection supervises and enforces DIFC Law No. 5 of 2020, and ADGM publishes separate data-protection guidance and transfer frameworks. ([U.AE][4])
If Storexio processes customer data on your behalf, you acknowledge that you remain responsible for your own lawful basis, notices, permissions, and customer communications unless a separate written agreement states otherwise.
16. Third-Party Services and Integrations
The Services may connect with third-party services such as payment gateways, courier providers, messaging platforms, social-media services, analytics tools, ERP/accounting systems, and other external applications.
Storexio does not control and is not responsible for third-party services, including their availability, legality, security, content, or performance. Your use of those third-party services is governed by their own terms and policies.
We may suspend, modify, or discontinue any integration if it becomes unavailable, insecure, unlawful, commercially impractical, or technically incompatible.
17. Service Availability and Changes
We may update, change, suspend, improve, replace, or discontinue any part of the Services at any time, including features, interfaces, APIs, limits, integrations, and plan structures.
We do not guarantee uninterrupted or error-free operation. Access may be affected by maintenance, upgrades, outages, internet failures, vendor issues, force majeure events, or security incidents.
Any beta, preview, test, or early-access feature is provided on an “as is” basis and may be changed or withdrawn at any time.
18. Suspension and Termination
We may suspend, restrict, or terminate your access immediately, with or without notice, if:
- you breach these Terms;
- you fail to pay fees when due;
- we reasonably suspect fraud, illegality, infringement, abuse, or security risk;
- a competent authority, court, regulator, or law requires us to act;
- your use creates risk for Storexio, users, or third parties;
- continued provision becomes impracticable for legal, technical, operational, or commercial reasons.
You may stop using the Services and cancel your account or subscription subject to any plan-specific notice period or commitment.
On termination, your right to use the Services ends immediately, but provisions that by nature should survive termination will continue, including payment obligations accrued before termination, IP clauses, disclaimers, indemnities, and dispute clauses.
19. Data Export and Retention After Termination
After termination or expiry, we may retain, delete, anonymize, or isolate account and platform data in accordance with our retention practices, system backups, legal obligations, and Privacy Policy.
Where supported by your plan or by separate agreement, you may export certain data before termination. We are not obliged to retain data indefinitely after termination unless required by law or written contract.
20. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Storexio disclaims all representations, warranties, and conditions, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, compatibility, accuracy, and error-free operation.
In particular, Storexio does not warrant that:
- the Services will be uninterrupted, secure, or error-free;
- defects will always be corrected;
- the Services will meet every business or legal requirement of a user;
- any specific sales, traffic, conversion, or revenue result will be achieved;
- third-party integrations will remain continuously available.
Nothing in these Terms excludes any right that cannot lawfully be excluded.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Storexio and its affiliates, officers, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenue, goodwill, data, business opportunity, anticipated savings, or business interruption arising out of or relating to the Services or these Terms.
To the maximum extent permitted by applicable law, Storexio’s aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total fees paid by you to Storexio in the twelve (12) months preceding the event giving rise to the claim, or AED 1,000 if no fees were paid in that period.
This clause should still be reviewed by UAE counsel before publication, because enforceability can depend on claim type and mandatory law.
22. Indemnity
You agree to defend, indemnify, and hold harmless Storexio, Mehdi Ghazlavi Electronic L.L.C., and their affiliates, officers, employees, agents, licensors, and contractors from and against claims, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your use of the Services;
- your breach of these Terms;
- Merchant Content;
- your products, services, promotions, or sales;
- your dealings with customers, suppliers, regulators, or third parties;
- your violation of any law or third-party rights.
23. Compliance With Law
You must comply with all laws and regulations applicable to your business and use of the Services, including those relating to:
- commercial licensing and registration;
- consumer protection;
- advertising and promotions;
- pricing and transparency;
- privacy and data protection;
- cybercrime and unlawful digital conduct;
- intellectual property;
- tax, VAT, invoicing, and bookkeeping;
- product safety and sector-specific regulation.
UAE official sources expressly identify e-commerce, consumer protection, electronic transactions, and data protection as part of the country’s digital-business legal framework. ([U.AE][1])
24. Confidentiality
Each party may receive confidential information from the other in connection with the Services. The receiving party shall use the other party’s confidential information only as needed for permitted purposes and shall not disclose it except to personnel, advisers, or contractors who have a need to know and are subject to appropriate confidentiality duties.
Confidential information does not include information that is public without breach, already lawfully known, independently developed, or lawfully received from a third party without restriction.
25. Publicity
Unless otherwise agreed in writing, Storexio may identify you as a customer and use your business name, logo, and general relationship status in customer lists, case studies, proposals, and marketing materials.
If you do not want that, replace this clause with: “Storexio will not use Merchant branding in public marketing materials without the Merchant’s prior written consent.”
26. Force Majeure
Storexio shall not be liable for delay, interruption, or failure caused by events beyond its reasonable control, including natural disaster, war, terrorism, epidemic event, civil disorder, labour dispute, utility failure, internet outage, cyberattack, governmental action, embargo, or hosting-provider failure.
27. Changes to These Terms
We may amend these Terms from time to time. Updated Terms become effective when posted or otherwise communicated, unless a later date is stated.
Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
28. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the laws applicable in the Emirate of ** Dubai **, without regard to conflict-of-law principles.
The courts of ** Dubai **, United Arab Emirates, shall have exclusive jurisdiction over disputes arising from or relating to these Terms, unless mandatory law requires otherwise or the parties agree to arbitration in a separate written contract.
Because UAE official guidance separately identifies federal, DIFC, and ADGM privacy frameworks, this clause should be tailored if your company is established in, contracts under, or materially operates from DIFC or ADGM. ([U.AE][4])
29. Dispute Resolution
Before starting formal proceedings, the parties shall attempt in good faith to resolve any dispute through management-level discussions for at least 30 days after written notice of dispute, unless urgent interim relief is required.
Nothing in this clause prevents either party from seeking urgent injunctive or protective relief from a competent court.
30. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the affected provision shall be interpreted to the maximum extent permitted to reflect the parties’ original intent.
31. No Waiver
No failure or delay by Storexio in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.
32. Assignment
You may not assign, transfer, sublicense, charge, or otherwise deal with your rights or obligations under these Terms without our prior written consent.
Storexio may assign or transfer these Terms in whole or in part to an affiliate or as part of a merger, restructuring, acquisition, financing, or sale of assets.
33. Entire Agreement
These Terms, together with the Privacy Policy, any applicable subscription terms, order form, acceptable use rules, refund policy, and any separate written addendum, form the entire agreement between you and Storexio relating to the Services and supersede prior discussions on that subject.
